Terms of Service

1. Acceptance of Terms

These Terms of Service ("Terms") govern your access to and use of ReachDispatch (the "Service"). By creating an account or using the Service, you agree to be bound by these Terms. If you are using the Service on behalf of a company, you represent that you have the authority to bind that company to these Terms.

2. Description of Service

ReachDispatch is a bulk messaging SaaS platform that allows businesses to import contacts, compose messages, and send campaigns across WhatsApp and Email from a single dashboard, with delivery tracking and reporting.

3. Account Registration and Responsibilities

You must provide accurate and complete information when creating an account and keep that information up to date. You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account.

You must notify us promptly if you become aware of any unauthorized use of your account.

4. Subscription Plans and Billing

ReachDispatch offers Starter, Growth, Pro, and Scale subscription plans, billed monthly or yearly. Each plan includes a monthly platform fee plus a set amount of messaging credits, which are consumed as you send messages across the channels available on that plan. Additional credits can be purchased at any time.

All payments are processed securely through Stripe. Subscriptions renew automatically at the end of each billing cycle unless cancelled beforehand.

All fees are non-refundable, including for partially used billing periods or unused monthly credits, except where required by applicable law. Purchased top-up credits do not expire but are also non-refundable.

5. Acceptable Use Policy

You may only send messages to contacts who have given consent to be contacted through the relevant channel. Sending unsolicited bulk messages ("spam") is strictly prohibited.

You may not use the Service to send content that is illegal, fraudulent, defamatory, discriminatory, sexually explicit, or otherwise harmful, or to impersonate any person or organization.

You are solely responsible for ensuring that your use of the Service, including your contact lists and message content, complies with applicable laws, including data protection and anti-spam regulations in the jurisdictions where your recipients are located.

6. Messaging Credits

Each subscription plan includes a defined amount of monthly messaging credits. Sending a message deducts credits based on the channel and destination country, calculated across all channels combined.

Unused monthly credits do not roll over to the following billing period. Purchased top-up credits do not expire and remain available until used. If your credit balance is exhausted, sending will pause until you purchase additional credits.

7. Intellectual Property

ReachDispatch and its logo, design, and underlying software are the property of ReachDispatch and are protected by intellectual property laws. These Terms do not grant you any rights to our trademarks or branding.

You retain all rights to the content and contact data you upload to the Service. You grant us a limited license to process and transmit that content solely for the purpose of providing the Service to you.

8. Termination

You may cancel your subscription at any time from your billing settings; cancellation will take effect at the end of your current billing period.

We may suspend or terminate your account if you violate these Terms, misuse the Service, or fail to pay applicable fees, with or without notice depending on the severity of the violation.

9. Limitation of Liability

The Service is provided on an "as is" and "as available" basis. To the maximum extent permitted by law, ReachDispatch shall not be liable for any indirect, incidental, or consequential damages arising from your use of the Service, including message delivery delays or failures caused by third-party channel providers.

Our total liability for any claim arising from these Terms or the Service shall not exceed the amount you paid us in the twelve months preceding the claim.

10. Governing Law

These Terms are governed by the laws of Dubai, United Arab Emirates, without regard to its conflict of law principles. Any disputes arising from these Terms shall be subject to the exclusive jurisdiction of the courts of Dubai, UAE.
